Terms of use
Version 1.3 — March 23, 2026
1. Purpose
These Terms of Use (the "Terms") define the conditions on which users (the "Users") access the Delibia Platform and use the services offered on it.
They apply to any person authorized to access the Platform under a contract entered into by a client public entity (local authority, joint syndicate, management centre, public establishment, and so on).
The Terms are supplemented by the Terms of Sale (CGV) and the Privacy Policy, available on the website https://delibia.com. In the event of a conflict, the Terms of Sale prevail over the Terms.
2. Definitions
The terms in bold used in these Terms have the following meanings:
- Platform: the digital service published by SOLYNE, accessible at https://app.delibia.fr, enabling public entities to search, analyze, structure, and produce administrative documents with the help of artificial intelligence.
- Administrator: a User with rights to manage teams, members, and the settings of the client organization, including activating or deactivating global permissions.
- Editor: a User authorized to modify the content of a shared item (adding or deleting documents, changing settings).
- Contributor: a User authorized to add content to a shared item, without being able to modify or delete it.
- User: a User with read-only access to a shared item (consultation only).
- Member: a User with access to search, chatbot, AI assistants, and collaborative spaces. A Member may share content with other members.
- Input Data: content entered or transmitted by the User (text, document, instruction) in the course of an interaction with an AI tool.
- Internal Data: documents or information belonging to the authority, voluntarily added by Users in order to feed a private knowledge base.
- Space: a personal or shared workspace used to bring together documents, a customized chatbot, and AI assistants. Each Space may be shared with different permission levels (Owner, Editor, Contributor, User).
- Knowledge Base: a structured set of internal documents, made available to the AI tools in a Space, accessible according to each User's rights.
- Services: all of the features offered on the Platform, including search engines, assistants, chatbots, collaborative spaces, publication of administrative acts, and additional options.
3. Acceptance and enforceability of the Terms
Use of the Platform is subject to unreserved acceptance of these Terms, given when an account is created or on first login.
The Terms are made available to the user at any time from the Platform, and may be updated. Any material amendment is notified to Users by a dedicated message or at the next login.
3.1 How amendments are made
Any material amendment to the Terms is notified in advance to the User or to the client authority.
The new Terms take effect:
- immediately for minor changes (clarifications, drafting corrections),
- after a minimum period of fifteen (15) days for amendments that affect Users' rights or obligations.
If the new Terms are refused, access to the Platform may be suspended, and the client authority may terminate the contract in accordance with the Terms of Sale.
4. Access to the Platform
4.1 Account creation
Access to the Platform is reserved for Users expressly authorized by the public entity to which they belong. Each User has a named, personal account. Sharing an account is strictly prohibited.
Access is possible:
- either by username and password (created when the account is activated),
- or through a single sign-on (SSO) system if that option has been activated by the authority.
4.2 User roles
Two levels of roles coexist on the Platform:
A. Organizational role (at the level of the authority):
- Administrator: manages the members of the organization, the global settings, and the activation or deactivation of the following permissions:
- Importing files into Spaces
- Creating customized assistants
- Sharing Spaces, assistants, and document collections
B. Functional roles (at the level of shared items):
Each item created (Spaces, Assistant, and so on) may be shared with different permission levels:
- Owner: creator of the item, holding all rights, including management of permissions, modification, and deletion.
- Editor: may modify the content and settings of the shared item (add, modify, and delete documents).
- Contributor: may add content, without being able to modify or delete what already exists.
- User: read-only access.
Permissions are managed at the level of each item and may be changed at any time by the Owner or by the Administrator of the organization.
4.3 Access security
The User is responsible for the confidentiality of their login credentials. In the event of loss, theft, or unauthorized use, the User undertakes to inform Delibia immediately.
Delibia reserves the right to suspend an account temporarily for security reasons (for example: abnormal behavior, attempted intrusion, or suspected fraud).
5. Authorized use of the Platform
5.1 Proper use
The User undertakes to use the Platform in compliance with:
- the laws and regulations in force,
- the confidentiality and security rules specific to their authority,
- these Terms and the contractual purposes of the service.
In particular, the User must not:
- use the Platform to transmit or generate unlawful, defamatory, discriminatory, or violent content;
- divert the tools to purposes unrelated to the activity of their authority or of the user public entity;
- extract content on a massive scale (web scraping or equivalent) without authorization;
- attempt to access content or spaces for which they have no authorization;
- impair the proper operation of the Platform (for example: script injection, deliberate overload).
The Client undertakes to use the Platform in compliance with the security rules set out in the Information Systems Security Policy (PSSI), in particular as regards access management, review of generated content, and prevention of the inclusion of personal data that are not necessary in the Input Data. This PSSI is available on request.
5.2 Responsibility of the User
The User is solely responsible for:
- the content of the Input Data they enter in the Platform (for example: mentions of personal data in minutes, the content of a space, and so on);
- checking content generated by the AI before it is circulated or officially published;
- the use they make of the features made available to them, in particular in shared Spaces or for documents processed in a knowledge base.
5.3 Obligations of the client authority
The client authority undertakes to:
- define and keep up to date the Users' access rights;
- ensure that internal data integrated into the Platform are relevant, lawful, accurate, and compliant with the GDPR;
- inform Users of the applicable internal security rules;
- ensure that use of the Platform is consistent with the professional purposes provided for in the contract;
- not integrate into the Platform any data containing sensitive information without a legal basis or specific authorization.
The authority is responsible for configuring access, roles, and the management of shared Spaces within its organization.
6. Generated content and liability
6.1 Assisted production function
Delibia's AI tools make it possible to generate administrative content (summary notes, draft resolutions, letters, minutes, and so on) from the Input Data provided by the User.
This content is produced automatically on the basis of artificial-intelligence algorithms and must be reread, checked, and, where appropriate, amended by the User or by the competent departments of the authority before any official circulation.
6.2 No legal advice
Delibia is in no way a legal-advice service.
Generated content (even where it is legal in nature) cannot be regarded as legal opinions engaging the liability of Delibia or of SOLYNE.
The User remains fully responsible for the use they make of the documents produced, in particular in the event of publication or transmission to third parties.
6.3 Deletion of unsaved content
Generated content can be viewed immediately after it is produced. Unless the User saves it (for example: adding it to a folder), unsaved content is automatically deleted after 30 days.
7. Specific regulated features
7.1 Public search engine
The User may search for public documents (resolutions, reports, statutes, decisions, and so on) through an advanced search engine.
Reuse of public content is permitted within the professional framework defined by the public-service mission, in accordance with the French Code of Relations between the Public and the Administration (Code des relations entre le public et l'administration, CRPA).
Any external or commercial exploitation is prohibited without express authorization.
7.2 Connected chatbot and assistant
The user may interact with a chatbot fed by public or internal data (within a Space).
The answers provided are generated automatically on the basis of the Input Data. The User must ensure that queries do not contain sensitive information or information contrary to the GDPR.
AI assistants may be customized within Spaces, and their answers may contain proposals for documents to be finalized.
7.3 Space feature
Spaces allow the User to create a personal or shared workspace including:
- a limited set of documents,
- customization of the chatbot linked to those documents,
- configurable AI assistants.
The User may, according to their access and authorizations:
- Private: accessible only by its creator
- Shared: accessible by other members according to 4 permission levels:
- Owner: creator of the Space, holding all rights
- Editor: may modify the content and the settings
- Contributor: may add documents
- User: read-only access
- Management of permissions and of shared content is the responsibility of the Owner of the Space.
7.3.1 Management and deletion of data in Spaces
The holder of the space is responsible for:
- Managing permissions (who has access, and with which role),
- the documents shared in the Space,
- deletion of the Space
- Editors may also add, modify, or delete documents according to the permissions granted to them.
Deletion of a Space results in the permanent deletion of all internal documents and generated content attached to it, unless they have been saved elsewhere on the Platform by another user who has the necessary rights.
7.4 Integration of internal documents
Under an option activated by the authority, internal documents (up to 10 GB) may be integrated into a dedicated knowledge base.
Their processing by the AI tools is based on the metadata and the settings defined by the Owners or Editors of the Spaces concerned. These documents remain the property of the authority.
7.4.1 Processing of internal data
Internal documents integrated by the authority:
- remain its exclusive property;
- are used by SOLYNE only for the operation of the Services;
- are not subject to any secondary exploitation, commercialization, or indexing outside the authority.
SOLYNE carries out only technical processing (analysis, conversion, local indexing) that allows the AI tools selected by the User in their Space to operate.
7.5 Module for publication and anonymization of administrative acts
As an option, Delibia makes it possible to automate the publication and anonymization of administrative acts.
The User is required to check the published content and to ensure that personal data have been properly removed, in accordance with the requirements of the GDPR.
8. Intellectual property
8.1 Ownership of the Platform
The Delibia Platform, its interfaces, algorithms, databases, AI tools, and all of its components (graphics, texts, videos, features, and so on) are the exclusive property of SOLYNE, or are used under a duly acquired license.
Any unauthorized reproduction, representation, distribution, or exploitation of all or part of the Platform, by any means whatsoever, is strictly prohibited and may constitute an infringement punishable under Articles L.335-2 et seq. of the French Intellectual Property Code.
8.2 Public data
Public Data accessible through the Platform (within the meaning of the CRPA) remain the property of the administrations that produced or received them.
The structuring, indexing, and presentation of those data by Delibia may be protected under the sui generis right of the database producer.
8.3 Generated content
Content generated by the Platform's artificial-intelligence tools (chatbot, AI assistants) is produced from the Input Data provided by the user.
It is accessible immediately after it is generated and may be saved by the User in a personal or shared Space.
By default, this content is automatically deleted after thirty (30) days, unless it has been expressly saved in a user space.
By exception, where a User gives a negative rating to generated content, the Input Data, the answer produced, and the associated comment are retained for a maximum period of twelve (12) months, for the sole purpose of:
- identifying malfunctions,
- improving the quality of the answers provided,
- and ensuring internal statistical monitoring.
This negatively rated content is retained only in order to identify malfunctions and to improve the algorithmic quality of the service (optimization of system prompts, not training of the underlying AI models).
9. Limitation of liability
9.1 Quality of generated content
Content produced by the artificial-intelligence tools is generated automatically from the Input Data provided by the user.
SOLYNE and Delibia guarantee neither the accuracy, nor the completeness, nor the legal compliance of the generated content.
The User remains responsible for checking and validating it before any internal use, circulation, or publication.
9.2 Indirect damage
Under no circumstances may SOLYNE or Delibia be held liable for indirect damage such as loss of opportunity, commercial loss, harm to image, or loss of revenue, resulting from use of the Platform or from the impossibility of using it.
9.3 Limit of liability
Subject to the mandatory legal provisions applicable to public entities, SOLYNE's liability, for all direct damage combined, is expressly limited to the amount paid by the client authority in respect of the current contractual year.
9.4 Cases of exemption
SOLYNE's liability cannot be incurred in the event of:
- misuse of the Platform by the User,
- failure to comply with the instructions for use or for security,
- use of the Services for purposes unrelated to the professional activity of the authority,
- force majeure within the meaning of French law,
- alteration, loss, or theft of data attributable to the Client, to a third party, or to the authority.
9.5 Security and compliance
SOLYNE undertakes to implement the backup means described in the Security Assurance Plan (PAS) in force, including a daily outsourced backup. In the event of data loss attributable to SOLYNE, its liability is limited to restoration of the last available backup (J-1), in accordance with the service commitments (SLA).
SOLYNE implements the technical and organizational measures necessary to ensure a level of security appropriate to the risks, including in particular:
- encryption of data in transit (TLS 1.2/1.3);
- regular backups;
- logging and monitoring of access;
- segregation of environments;
- regular security audits.
SOLYNE undertakes to notify the client authority of any security incident as soon as possible and no later than 48 hours for personal-data breaches (GDPR), and 72 hours for other security incidents after becoming aware of it.
9.6 Hosting and data sovereignty
The Platform's data are hosted exclusively in France by OVHcloud (Roubaix/Gravelines data centers), certified ISO 27001.
This location ensures:
- compliance with data sovereignty in accordance with the requirements of public entities,
- compliance with the security standards of the French public administration,
- application of French and European law on data protection.

10. Service availability and maintenance
10.1 Availability
The Platform is accessible online 24 hours a day, 7 days a week, except in the event of force majeure or a maintenance operation.
Delibia makes every effort to guarantee optimal availability of the Platform. Real-time service status is available at https://uptime.delibia.fr/. Temporary interruptions may occur in the event of planned maintenance or a technical incident, in which case users are informed as soon as possible.
10.2 Maintenance
Maintenance or update operations may cause a temporary interruption of the service. Users will be informed at least 48 hours in advance for planned maintenance, except in an emergency.
11. Suspension or termination of an account
11.1 Abusive or fraudulent use
In the event of use contrary to the Terms, or of conduct that harms the security or integrity of the Platform (massive extraction, attempted intrusion, unlawful content), Delibia reserves the right to:
- temporarily suspend the access of the User concerned,
- notify the administrator of the client authority,
- delete the account concerned in the event of a repeated or unremedied breach.
11.2 System alert and reporting
An automatic detection system flags abnormal behavior. The client authority is informed before any definitive action.
12. Personal data
Personal-data processing carried out through the Platform is governed by the Privacy Policy, available at the following address: https://delibia.com/privacy
The User will find there all of the information relating to:
- the categories of data collected,
- the purposes of the processing,
- the processors involved (including Mistral AI with Zero Data Retention),
- the retention period,
- and GDPR rights (access, rectification, erasure, objection, portability).

12.1 GDPR responsibility
In connection with the operation of the Platform:
- the client authority is the controller within the meaning of the GDPR;
- SOLYNE acts as processor, in accordance with Article 28 of the GDPR.
SOLYNE processes personal data only on the documented instructions of the authority, for the sole purposes related to access to and use of the Platform, and undertakes not to reuse them for its own purposes.
The updated list of processors is available in the Privacy Policy.
13. Governing law and jurisdiction
These Terms are governed by French law.
In the event of a dispute relating to the interpretation, performance, or validity of the Terms, and failing an amicable solution within a reasonable time, the courts within the jurisdiction of SOLYNE's registered office shall have exclusive jurisdiction, even in the event of multiple defendants or a third-party claim for indemnity.
